1. Definitions

In these Terms and Conditions:

• "Luminos" refers to the business entity operating under this name, based at 29 Jalan Telawi, Bangsar, 59100 Kuala Lumpur, Malaysia.
• "Services" refers to any generative AI consulting, development, integration, or strategy work provided by Luminos.
• "Client" or "You" refers to any individual or organisation engaging Luminos for services or using this website.
• "Agreement" refers to these Terms and Conditions together with any signed engagement proposal or statement of work.
• "Content" refers to materials, deliverables, code, documentation, or any output produced during an engagement.

2. Acceptance of Terms

By using this website, submitting an enquiry, or entering into a service engagement with Luminos, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or engage our services.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If engaging on behalf of an organisation, you represent that you have the authority to bind that organisation.

3. Service Description

Luminos provides the following categories of service:

• Custom Generative AI Application Development
• Enterprise LLM Integration
• Generative AI Strategy & Governance

The specific scope, deliverables, and timeline for each engagement are defined in a written proposal or statement of work agreed between Luminos and the client prior to commencement. Services described on this website are for informational purposes; actual deliverables are governed by the engagement agreement.

Luminos operates primarily within Malaysia, though remote engagements with clients outside Malaysia may be accommodated at our discretion.

4. User Responsibilities

When using our website or engaging our services, you agree to:

• Provide accurate and complete information in any forms or communications
• Not use our website for unlawful purposes or in ways that could harm Luminos or third parties
• Not attempt to gain unauthorised access to any part of our systems or infrastructure
• Not submit content that infringes on any third party's intellectual property rights
• Maintain confidentiality of any proprietary materials shared during an engagement

5. Intellectual Property

All original content, frameworks, methodologies, and materials produced by Luminos and shared during an engagement are the intellectual property of Luminos until full payment is received, at which point ownership of client-specific deliverables transfers to the client as agreed in the engagement contract.

Luminos retains the right to use generalised knowledge, skills, and non-client-specific methodologies developed during engagements in future work. We do not retain or use client-specific data or outputs for any purpose beyond the engagement.

The Luminos brand, name, and website content are protected and may not be reproduced or used without written permission.

6. Payment Terms

Service fees are as described in the relevant engagement proposal. Standard payment terms are:

• 50% deposit due on engagement confirmation
• 50% balance due on delivery of final deliverables or as otherwise specified in the proposal
• Payment is accepted in Malaysian Ringgit (MYR) via bank transfer
• Invoices are due within 14 days of issue

Refund policy: Deposits are non-refundable once work has commenced. If Luminos is unable to complete an engagement for reasons within our control, a proportional refund of fees for work not yet undertaken will be offered.

7. Service Delivery

Luminos will use reasonable care and skill in delivering services as described. Timelines and milestones are estimates unless otherwise agreed in writing. Where delays arise due to factors outside Luminos's control (including delayed client input, third-party API changes, or force majeure), timelines may be adjusted accordingly.

Clients are expected to provide timely feedback and input at agreed review stages. Delays caused by client unavailability may extend the engagement timeline.

8. Disclaimers

Luminos provides services based on current knowledge and available technologies. We do not make any representations about the suitability of AI tools for any particular purpose beyond what is explicitly stated in the engagement proposal.

AI-generated outputs, by their nature, may contain inaccuracies or inconsistencies. Clients remain responsible for reviewing and approving any AI outputs before use. Luminos is not liable for decisions made on the basis of AI-generated content.

Our website and services are provided "as is" to the extent permitted by Malaysian law.

9. Limitation of Liability

To the extent permitted by law, Luminos's liability for any claim arising from these Terms or any engagement shall not exceed the total fees paid by the client for the relevant engagement in the 12 months preceding the claim.

Luminos shall not be liable for indirect, consequential, or incidental losses, including loss of data, revenue, or business opportunity, except where such losses result from gross negligence or wilful misconduct on our part.

10. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information shared during an engagement. Luminos will not disclose client information to third parties without consent, except as required by law. Clients should not share proprietary third-party information with Luminos unless they have the right to do so.

11. Termination

Either party may terminate an engagement with 14 days' written notice. In the event of termination:

• Fees for work completed up to the termination date are payable
• Deliverables completed to that point will be transferred to the client on receipt of payment
• Luminos will provide reasonable assistance to ensure a clean handover of any in-progress work

Luminos may terminate an engagement immediately if the client fails to pay outstanding invoices or acts in breach of these terms.

12. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through direct communication in good faith. If resolution cannot be reached within 30 days, disputes shall be referred to mediation before any formal legal proceedings are initiated.

These Terms are governed by the laws of Malaysia. Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

13. General

• Entire agreement: These Terms, together with any engagement proposal, constitute the full agreement between the parties.
• Severability: If any provision of these Terms is found invalid, the remaining provisions remain in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without Luminos's written consent.

14. Changes to These Terms

Luminos may update these Terms from time to time. Material changes will be reflected in the updated "Last updated" date above. Continued use of our website or services after changes take effect constitutes acceptance of the revised terms. For active engagements, changes will not apply retroactively.
